Welcome to SaltExchange!

Description of Services:
SaltExchange was created to serve you, our brothers and sisters in Christ Jesus our Lord.  The overall goal of the SaltExchange Website (the "Website") is to bridge Christian communities and connect not only people but also the vast array of information and events that exist between us.  

The SaltExchange Services (the "Services") include, but are not limited to, the following:
1. Using/posting events and/or information:       
  "event" = a gathering or activity 
  "information" =  communication of a particular fact 
2. Rating/commenting on posted events and/or information 
3. Registering to receive the newsletter 
4. Participating in other services as they appear on, are added to, or are changed on the Website 

The SaltExchange Posts (the "Posts"), as included in the Services described above, include posted events, information, ratings, rating comments and all contents of each post (content of Posts include, but are not limited to the following: text, photos, files, messages, contact information, links to other websites, products, business information, ratings, comments, and any other information made available to the public through posts on the Website).

Acceptance of Terms and Conditions:
The Services are subject to SaltExchange's Terms and Conditions (the "Terms and Conditions") as detailed in this document.  By using the Website (including its Posts), in any way, you agree to the Terms and Conditions and all modifications and/or amendments to the Terms and Conditions which may be made from time to time.  Additionally, when using the Website (including its Posts), you are subject to any posted guidelines and/or rules, including all modifications and/or amendments, related to the Services you are using.  Please read the Terms and Conditions, posted guidelines, and rules carefully.  Should you at any time object to the Terms and Conditions and/or posted guidelines and/or rules (including modifications and/or amendments), you will immediately terminate your use of the Website (including its Posts), in any way, and will have no other recourse as a result of your objection.

Changes in Terms and Conditions:
SaltExchange reserves the sole right to make discretionary changes to the Website at any time, including its disclaimers, terms, conditions, guidelines, and rules.  Such alterations shall be effective as soon as the changes are made.  You should periodically check the News and Announcements section on the Website for materially significant changes to the Terms and Conditions, posted guidelines and/or rules.  

Placing Posts on the Website: 
If you chose to Post on the Website, you understand and accept that you are solely responsible for all your Posts.  If your Posts are in any way altered by you, SaltExchange, and/or anyone else, you still remain solely responsible for the Posts.

You understand and accept that SaltExchange does not have to review or approve any Posts included on the Website but reserves the right to review, edit and/or delete any Posts, without prior or subsequent notice or explanation, for the following reasons: 1) not in-line with its Christian principles, 2) violates the letter or intent of the Terms and Conditions, posted guidelines and/or rules, or 3) any other reason. If there is a dispute between you and any other third-party related to the Services and/or Posts you made, you understand and accept that SaltExchange and/or its subsidiaries, affiliates, officers, employees, agents, suppliers, and/or service providers are under no obligation to become involved and are released from any and all claims, liabilities and damages.  For more information, read the Limitation of Liability and Disclaimer of Warranty section.  

Furthermore, even though SaltExchange does not own the Posts you place on the Website, please understand that by making Posts on the Website, you grant SaltExchange (royalty-free) the license to use, copy, edit, display and/or distribute the information in any way it deems appropriate.  You also grant SaltExchange the right to impose rules on others regarding the usage of your Posts as stated in the Reproduction or Copying Services or Contents section.

Sharing your E-mail Address or other Personal Information in Your Posts:
SaltExchange is not responsible for any consequences that result from choosing to make your e-mail address public information in your Posts.  This choice is made during the registration process.  You can edit this choice at any time by going into the "My Account" section.

SaltExchange is also not responsible for any consequences that result from including your personal information in Posts you make via the Website.

Using Posts on the Website:
If you chose to review and/or act on Posts, you understand and accept that Posts made available through the Services are not controlled and/or approved by SaltExchange and are the sole responsibility of the Post creator (as described under the Placing Posts on the Website section).  More specifically, by using the Website you may be exposed to Posts that are inaccurate, offensive, objectionable, misleading, erroneous and/or harmful.  SaltExchange is not responsible for these and/or any other problems you may have with the Posts.  In fact, SaltExchange encourages you to use reasonable judgment and investigate all Posts that are of interest to you before you choose to act on them (e.g., participating in events, using or buying business services, clicking on website links, buying or selling any service or item, contacting parties mentioned in or related to the Posts).  You understand and accept that you bear all risks when reviewing Posts, visiting website links that are listed in Posts, contacting businesses or people listed in the Posts, buying or selling any service or item mentioned in Posts, or acting on, in any other way, information or events listed in Posts on the Website.

Conduct relating to Placing or Using Posts or Other Services:
You understand and accept that when placing and/or using Posts and/or other Services it must not:
 	be in violation of Christian principles as detailed in the Holy Bible;
 	be unlawful, intentionally inaccurate, fraudulent, misleading, deceitful, harmful, abusive, harassing, hateful, derogatory, in violation of privacy, harmful to children, and/or anything SaltExchange determines to be related to or an extension of these categories;
 	be sexual, pornographic, and/or anything SaltExchange determines to be related to or an extension of these categories;
 	infringe copyright and/or trademark laws and/or anything SaltExchange determines to be related to or an extension of these categories; and/or
 	be in violation of equal employment opportunity laws and/or the Fair Housing Act.

Editing or Removal of Posts on the Website:
In addition to SaltExchange's ability to review, edit and/or delete any Posts, without prior or subsequent notice or explanation, marked by the following: 1) not in-line with its Christian principles, 2) in violation of the letter or intent of the Terms and Conditions, posted guidelines and/or rules, or 3) for any other reason (as mentioned above), SaltExchange may also delete Posts that have expired, become outdated, and/or do not function properly (e.g., a Post includes a website link that is or becomes, over the course of time, erroneous).   You understand and accept that SaltExchange is allowed to review, edit and/or delete (without storing) any Posts for the reasons stated above and bears no responsibility and/or liability for doing so.  Furthermore, you understand that SaltExchange is not required to notify the creator of the Post prior to or after its review, edit and/or deletion and is not required to provide an explanation regarding its decision to review, edit and/or delete the Post.    

Block, Suspension, or Termination of Service(s):
You understand that SaltExchange may block, suspend, and/or terminate any of your Services, at any time and without prior or subsequent notice or explanation, due to what it determines to be inappropriate conduct related to the Services, violation(s) of the letter or intent of the Terms and Conditions, violation of the posted guidelines and/or rules, and/or for any other reason based on SaltExchange's sole discretion.  Furthermore, you understand that SaltExchange bears no responsibility and/or liability for blocking, suspending, and/or terminating any of its Services to you.  You also understand that SaltExchange is not required to notify you regarding such actions nor are they required to provide an explanation regarding its decision to do so.  If your Services have been blocked, suspended and/or terminated, you agree not to attempt to continue to use the Website until you have been reinstated by SaltExchange Management.

Reproduction or Copying Services or Contents:
The Services and contents (including static contents, logos, photos and Posts) are protected by intellectual property, trademark and/or copyright laws, and/or international conventions.  Based on this, you understand and accept that you will not reproduce, sell and/or copy the Services, static contents, logos, photos, and/or Posts unless you receive written permission to do so from SaltExchange.  

Claim Infringement:
If you believe a Post includes copyrighted materials and/or any other infringement violation, please contact us at the following address:  comments@saltexchange.com.  Subject of the e-mail needs to include the words "Possible Claim Infringement," and the body of the e-mail needs to include your contact information.

As a reminder, a Post remains the sole responsibility of its creator as mentioned under the Placing Posts on the Website section.  

Children:
Children under the age of 13 are not allowed to register on the Website without a Parental Consent Form.  The Parental Consent Form needs to be signed by a parent and SaltExchange Management in order for a child under 13 to register.  Parental Consent Forms may be obtained by e-mailing us at the following address: info@saltexchange.com.  Subject of the e-mail needs to include the words "Parental Consent Form" and the body of the e-mail needs to include your contact information.  

If a child under the age of 13 registers without an authorized Parental Consent Form and SaltExchange discovers it, the child's personal information and any events and information she/he posted will be deleted and/or archived.  

Privacy Policy:
Registration information and any other information collected about you are subject to SaltExchange's Privacy Policy (the "Privacy Policy").  By using the Website (including its Posts), in any way, you signify acknowledgement of and consent to the Privacy Policy and all modifications and/or amendments to the Privacy Policy which may be made from time to time. Limitation of Liability and Disclaimer of Warranty:
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOU BEAR THE COMPLETE RISK OF USING THE SALTEXCHANGE SERVICES.  UNDER NO CIRCUMSTANCES WILL YOU HOLD SALTEXCHANGE AND/OR ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND/OR SERVICE PROVIDERS LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, AND/OR EXEMPLARY DAMAGES THAT ARISE FROM USING THE SALTEXCHANGE WEBSITE AND/OR ITS SERVICES IN ANY CAPACITY (INCLUDING USING OR RELYING ON INFORMATION (SUCH AS WEBSITE LINKS, BUSINESS SERVICES, PRODUCTS) AND/OR EVENTS THAT YOU FOUND ON OR POSTED TO THE SALTEXCHANGE WEBSITE).

Indemnity:
You agree to indemnify and hold SaltExchange and/or its subsidiaries, affiliates, officers, employees, agents, suppliers, and/or service providers harmless from any claim and/or demand, including, but not limited to, reasonable attorneys' fees and/or court costs, made by any third party due to or arising out of content you submit, post, and/or otherwise make available through the Website, your use of the Services (including Posts), your connection to the Website, your breach of any warranties and/or representations you made through the Website, your violation of the Terms and Conditions, and/or your violation of any rights of another.

General:
The Terms and Conditions constitute the entire agreement between you and SaltExchange and govern your use of the Services, superseding any prior agreements between you and SaltExchange relating to the use of the Services.  The Terms and Conditions and the relationship between you and SaltExchange shall be governed by the laws of the State of New York without regard to its conflict of law provisions. You and SaltExchange agree to submit to the personal and exclusive jurisdiction of the courts having jurisdiction over the city of Brooklyn, New York. The failure of SaltExchange to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms and Conditions remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arises or be forever barred.
